ADGIFTSONLINE LIMITED T/A BRANDED CHOCOLATE BARS TERMS & CONDITIONS OF TRADING
By placing an order or using the Seller's website(s) the Buyer confirms that they have read, understood and accepted the following terms and conditions.
DEFINITIONS
"The Seller" refers to AdGiftsOnline Limited T/A Branded Chocolate Bars, Lymedale Business Centre, Hooters Hall Road, Newcastle-under-Lyme, Staffordshire, ST5 9QF
"The Buyer" refers to the person(s), individual(s), firm, company or other organisation purchasing Goods or Services from the Seller
"Contract" means the agreement(s) between the Seller and the Buyer for the purchase of the Products and incorporating these terms and conditions and any other conditions contained in the Order
"Artwork" refers to logos, designs and images of respective Buyers
"Products" means the Goods and Services supplied to the Buyer by the Seller
"Order" means the purchase order containing details relating to the Products and the Contract
PAYMENT PROCEDURES
For new customers and Online Buyers payment must be made on or before confirmation of Order.
All Products remain the property of the Seller until full payment is received from the Buyer.
SUBJECT TO AVAILABILITY
All Quotations and Product listings are given in good faith on the provision that all Products are subject to availability. Goods are sometimes sourced internationally and while the seller will always make every effort to fulfil the Buyer's specific deadline requirement, it is important that the buyer allows for the potential of extended lead times and possible express carriage costs should goods be required to be brought in from overseas.
ORDERS & CANCELLATION POLICY
All Purchase Orders must be confirmed in writing, by fax, email or letter. Confirmation of an Order by the Seller and the Buyer constitutes a contract. With printed and bespoke products, orders cancelled once confirmed will be subject to a Cancellation Fee which could be equal to the full order value for the work being undertaken and the products being supplied, or to the value of the costs incurred in production of the artwork and ordered goods to the date and time of Order Cancellation. It is the Buyers responsibility to make the seller aware in writing of any special requirements or special circumstances relating to their order at the time of order.
ARTWORK
Orders requiring artwork are subject to formal Artwork Approval by The Buyer. Once Artwork has been approved by the Buyer the Seller will ensure the approved Artwork will appear on the selected Products as appropriate. The Buyer is responsible for ensuring Artwork is correct. Artwork must be approved in writing by Email. Once Artwork is approved by the Buyer, the Seller takes no responsibility for inconsistencies with the Buyers Artwork requirements unless the Artwork on the Product differs from that approved Artwork. All Artwork must be approved before orders can be processed to final production. On occasion, a pre-production sample proof may be provided for the Buyerto approve before final production in commenced. Changes relating to such proofs will be confirmed to the Buyer prior to them being provided.
INTELLECTUAL PROPERTY
All logos, designs and artwork supplied by the Buyer remain the Buyer's respective property. The Buyer indemnifies the Seller with respect to use and reproduction of logos and artwork supplied to the Seller for printing onto Products and Goods. All Service names and Logos and Designs shown on Websites and Literature belonging to the Seller remain the property of the Seller.
LEAD TIMES
The Seller will make the Buyer aware of anticipated production and delivery times prior to the Buyer placing an Order. It is vital that the Buyer ensures prompt reply to order's, email and other written correspondence, requests for information and Artwork or Sample Approvals for deadlines to be met. Delays in delivery resulting directly from the late supply of information and or Sample and Artwork Approvals or late Proforma payments are the responsibility of the Buyer.
DELIVERY
Delivery Charges and Times vary according to quantity and location. Delivered Quantities may vary + or - 10% and will be charged accordingly. It is the responsibility of the Buyer to inform the Seller of undelivered, damaged or incorrect items within 3 days of the delivery date. If goods are being supplied to a third party and / or to be used within other promotional packages, it is the Buyers responsibility to ensure the goods are correct and of an acceptable quality beforehand. No liability for consequential losses incurred in the event that incorrect or substandard goods require to be repackaged in these circumstances will be accepted by The Seller if the Buyer has not checked the goods prior to repackaging. We are unable to take responsibility for any deliveries that are delayed due to circumstances beyond our control, such as severe weather conditions or any other unforeseen circumstances.
SAMPLES
Where samples are chargeable, the Buyer will be informed of costs prior to despatch of the Products. The provision of samples free of charge is usually dependant on the costs involved. Free samples are provided purely at the discretion of the Seller. Where possible, samples will be provided on loan subject to return in original undamaged condition within 21 days of despatch date. Failure to do this will result in the Products being invoiced to the buyer.
RETURNS POLICY
The Seller takes full responsibility for Products arriving with the Buyer undamaged. The Seller takes responsibility for completing the confirmed Orders as agreed in the written Order Confirmation. If Orders arrive damaged or differ from the agreed Order Confirmation the Buyer must notify the Seller within 24 hours of receipt of delivery. Any customised or bespoke items are non-returnable other than for reasons of product fault.
PRICES
All prices given on www.brandedchocolatebars.co.uk s are inclusive of VAT which is payable at the standard rate. Costs may vary depending on quantity ordered and amount or type of personalisation required. All prices are offered subject to availability. The seller will endeavour to offer and provide a suitable alternative product in the event that a selected item becomes unavailable.
DESCRIPTIONS
All images and descriptions are as accurate as possible based on the information provided by the product manufacturer, however exact colours may vary due to individual screen/monitor settings and printer capabilities. The Seller takes no responsibility of such discrepancies.
WEBSITES
The content of the websites www.adgiftsonline.co.uk and www.brandedchocolatebars.co.uk remain the property of the Seller and are protected by Copyright Law. Copying information from the above Websites is forbidden unless prior permission is granted by the Seller.
ENDORSEMENTS
Organisations names & corporate logos appearing on the Seller's websites and or literature do not necessarily constitute endorsement by that respective company or organisation and may not have been produced by the Seller for the company shown. They are included as an example of how a product appears when branded.
LIABILITY
The Seller is not liable for the effectiveness of Products or Services purchased in increasing or decreasing turnover, sales revenue or profitability of the Buyer. Food and Drink Products where applicable indicate a recommended Best Before Date for use. This is reliant upon and based upon the Customer storing the goods carefully in appropriate conditions as recommended by the manufacturer.
GOVERNING LAW AND JURISDICTION
These Terms and Conditions and any Contract between the Seller and the Buyer are governed by the Laws of England.
